These Terms of Service (“Terms”) govern your use of VesselScout (the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, you should not use the Platform.


1. Nature of the Platform

VesselScout is an online marketplace and informational platform designed to facilitate the listing, discovery, and evaluation of recreational vessels.

VesselScout:

  • Is not a broker, dealer, surveyor, escrow agent, or insurer.
  • Is not a party to transactions between buyers and sellers.
  • Does not guarantee the accuracy, completeness, or reliability of listings.
  • Does not guarantee the outcome of any transaction.

All transactions occur directly between buyers and sellers. Users are solely responsible for conducting their own due diligence.


2. User Accounts

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate information appropriate to the services you are using.
  • Maintain the security of your login credentials.
  • Notify VesselScout of unauthorized account use.

You are responsible for activity that occurs under your account.

VesselScout reserves the right to suspend or terminate accounts that violate these Terms.


3. User Responsibilities

Buyers

Buyers are responsible for:

  • Independently verifying listing information.
  • Conducting inspections, surveys, and due diligence.
  • Assessing legal, financial, and regulatory requirements related to purchase or ownership.

VesselScout provides informational tools only and does not provide financial, legal, or professional advice.

Brokers and Sellers

Brokers and sellers represent and warrant that:

  • They have authority to list the vessel.
  • Listing information is accurate to the best of their knowledge.
  • Photos and media accurately represent the vessel.
  • They have rights to all content submitted.

Users are solely responsible for the accuracy and legality of their listings.


4. Listing Content and License

Users retain ownership of content they submit. By submitting content, you grant VesselScout a non-exclusive, worldwide, royalty-free license to:

  • Display
  • Reproduce
  • Modify for formatting
  • Store
  • Archive
  • Distribute

such content in connection with operation of the Platform.

VesselScout may retain historical listing and sale information for market transparency, analytics, and platform improvement.

VesselScout reserves the right to remove or modify listings at its discretion.


5. Prohibited Conduct and Content Standards

Users agree not to:

  • Post false, misleading, or fraudulent information.
  • Upload content they do not have the legal right to use.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the platform or its systems.
  • Attempt to scrape, copy, extract, or reverse engineer platform data, structured data, ranking systems, or features.
  • Use the platform for purposes unrelated to legitimate boat transactions.
  • Circumvent platform features designed to maintain integrity, transparency, or user safety.

Listing Photos and Media

All photos, videos, and other media submitted must be relevant to the vessel being offered and must accurately represent that vessel.

The following are prohibited:

  • Explicit, sexually suggestive, or otherwise inappropriate imagery
  • Harassing, discriminatory, or offensive content
  • Images unrelated to the listed vessel
  • Misleading or deceptive imagery
  • Stock or promotional images of different vessels presented as the listed vessel
  • Images containing embedded contact information intended to bypass platform communication features
  • Copyrighted or watermarked images without proper authorization

VesselScout reserves the right, in its sole discretion, to remove, edit, crop, reformat, or refuse any content that violates these standards or undermines the professionalism or integrity of the platform.

VesselScout may suspend or terminate accounts that repeatedly or materially violate these standards.


6. Fees and Payments

If fees are charged for listings or subscriptions:

  • Fees and billing terms will be disclosed at the time of purchase.
  • Fees are non-refundable unless otherwise stated.
  • VesselScout reserves the right to modify pricing with reasonable notice.

Failure to pay applicable fees may result in suspension or removal of listings.


7. Aggregated Data and Market Information

VesselScout may use and display aggregated or statistical information, including:

  • Listing view counts
  • Engagement metrics
  • Historical listing and sale data
  • Market trends

This information does not identify individual users.

Ranking tools, comparisons, and evaluations are informational only and do not constitute professional advice or guarantees of market value.


8. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

VesselScout makes no warranties, express or implied, including:

  • Accuracy or completeness of listings
  • Uninterrupted or error-free operation
  • Fitness for a particular purpose
  • Results obtained from use of the Platform

Use of the Platform is at your own risk.


9. Limitation of Liability

To the fullest extent permitted by law, VesselScout shall not be liable for:

  • Disputes between users
  • Listing inaccuracies
  • Transaction outcomes
  • Financial losses
  • Indirect, incidental, special, consequential, or punitive damages

VesselScout’s total liability, if any, shall not exceed the amount paid by the user to VesselScout within the preceding twelve (12) months.


10. Indemnification

You agree to indemnify and hold harmless VesselScout and its operators from claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Platform
  • Your listings or submitted content
  • Your violation of these Terms
  • Your violation of applicable law

11. Termination

VesselScout may suspend or terminate access to the Platform at its discretion, including for violations of these Terms.

Upon termination:

  • Your access may be revoked.
  • Listings may be removed.
  • Historical data may be retained for record-keeping and platform integrity.

12. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the appropriate state or federal courts located in Florida.


13. Changes to These Terms

VesselScout may update these Terms from time to time. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
